On July 16th, the SEC announced the release of an updated EDGAR XBRL Guide, which is available on the XBRL Technical Specifications webpage at sec.gov. The technical specifications on the SEC’s website outline the valid framework and content for EDGAR submission types submitted in both XBRL (eXtensible Business Reporting Language) and XML (eXtensible Markup Language). The SEC, the Municipal Securities Rulemaking Board (MSRB), and Financial Industry Regulatory Authority (FINRA) have announced that registration is now open for the Compliance Outreach Program, an event the agencies will host together in November in Denver, Colorado. The program is designed specifically to familiarize municipal market participants, including municipal advisors and broker-dealers, with their compliance obligations. On June 24th, the SEC announced that it has revised its list of unregistered entities that use inaccurate data to solicit mainly non-US investors. This list is known as the Public Alert: Unregistered Soliciting Entities (PAUSE) list. The update adds 24 soliciting entities, six impersonators of real firms, and four bogus regulators. Revising the list of soliciting entities that have been the subject of investor complaints allows the SEC to provide information learned through reviewing tips, referrals, complaints, and other sources, helping retail investors avoid potential fraud before they invest. On June 28th, the SEC’s Division of Economic and Risk Analysis (DERA) released a report analyzing the way filers use custom tags in their eXtensible Business Reporting Language (XBRL) submissions from 2021 to 2023. The average custom tag rate for filings in 2023 decreased compared to 2022 for Forms 10-K and 10-K/A across all filer status except the accelerated filer category. On June 25th, the SEC issued the Final 2024 Security-Based Swap (SBS) Taxonomy and Sample Documents designed to equip the filers and vendors using the taxonomy. The final SBS taxonomy resources are available on the SEC’s Security-Based Swap Data Repositories and Execution Facilities webpage, and the illustrative sample documents are available for download prior to the upcoming EDGAR 24.2 release that incorporates the final SBS taxonomy into EDGAR. Recently the SEC has adopted rules under which registrants are required periodically to disclose material cybersecurity instances they experience. Registrants also must disclose on an annual basis material information regarding their cybersecurity risk management, strategy, and governance. Since these disclosures are required to be in a structured data format, the SEC has released a draft XBRL taxonomy for these mandated cybersecurity disclosures.
