The SEC will be closed Monday, May 25th in observance of Memorial Day. The EDGAR System will not receive, process or accept filings on this day. Filings with a due date of May 25th will be due the following business day. The FERC will also be closed in observation of Memorial Day. eForms will accept filings submitted on May 25th. SEC Provides Preview of June 2026 EDGAR Release 26.2

On May 15th, the EDGAR Business Office issued a preview of the upcoming updates to the EDGAR system’s capabilities, technical specifications, and the draft EDGAR Filer Manual prior to the approaching EDGAR software release. The release is currently scheduled for June 15, 2026, and filers may review and test the expected EDGAR system changes in the EDGAR Beta Environment beginning June 1, 2026. SEC Proposes to Modernize Registered Offerings and Reduce Reporting Burdens for Public Companies

On May 19th, the SEC proposed reforms intended to improve the efficiency, resilience, and cost‑effectiveness of registered offerings while remaining focused on providing strong investor protections. The proposal seeks to streamline the public‑company reporting framework and more closely align disclosure requirements with a company’s size and phase of development. The proposal is designed to respond to years of increasing regulatory complexity and a sustained drop in the number of public companies. SEC Adopts Technical Amendments to Update Regulation NMS Cross-Reference, Delegated Authority Rules

On May 1st, the SEC’s Division of Trading and Markets adopted technical amendments to Rule 610 of Regulation NMS under the Exchange Act. The amendments are designed to modernize outdated cross‑references in provisions governing locking and crossing quotations. SEC Proposes Rules to Allow Optional Semiannual Filings for Public Companies

On May 5th, the SEC proposed rule and form amendments that would allow public companies to file semiannual reports instead of traditional quarterly reports. The change would offer issuers greater flexibility in meeting interim reporting obligations under federal securities laws. Under the proposal, companies subject to Exchange Act Sections 13(a) or 15(d) may choose to file a new Form 10‑S twice a year in place of Form 10‑Q. Rather than file three quarterly reports and one annual report, eligible companies could choose the streamlined option to file one semiannual report and one annual report per fiscal year. SEC, CFTC Propose Amendments to Modernize Form PF Reporting, Solicit Comment

On April 20th, the Securities and Exchange Commission (SEC) and the Commodity Futures Trading Commission (CFTC) jointly proposed amendments to Form PF, the confidential reporting form used by SEC‑registered private fund advisers, which include those also registered with the CFTC as Commodity Pool Operators (CPOs) or Commodity Trading Advisors (CTAs). SEC Releases Proposal to Extend Rule 17Ad‑27, Solicits Comment

SEC Advances Treasury Market Resilience with New Cross‑Margining Structure

On April 15th, the SEC announced a conditional exemptive order that would permit customer cross‑margining between cash market positions in US Treasury securities cleared by a registered clearing agency and futures positions in US Treasury securities cleared by a registered derivatives clearing organization. The exemption applies to broker‑dealers that are also registered as futures commission merchants with the Commodity Futures Trading Commission (CFTC) and that serve as joint clearing members of both clearing entities. In accordance with the order, these organizations now may offer cross‑margining to eligible customers in a futures account as long as all conditions of the exemption are met.
