On October 14th, the EDGAR system was upgraded to Release 25.3 and now supports the updated Special Purpose Acquisition Company (SPAC) Taxonomy. On September 30th, the SEC announced that it is extending the compliance date for the amendments to the rules under the Securities Exchange Act that require the disclosure of order executions in national market system (NMS) stocks. On September 29th, the SEC adopted amendments to Rule 605 of the Securities Exchange Act, which requires disclosures for order executions in national market system (NMS) stocks. Under the rulemaking, Rule 605(a)(2) requires that every market center, broker, or dealer subject to Rule 605 reporting requirements produce a summary execution quality report. Per the amendments, Rule 605 requires reporting entities to provide the summary execution quality report on a website that is free and available to the public using the current versions of the CSV schema and the associated PDF renderer as published on the SEC’s website. On September 17th, the SEC approved rule changes by three national securities exchanges to adopt generic listing standards for exchange-traded products that hold spot commodities, such as digital assets. Consequently, the exchanges may list and trade Commodity-Based Trust Shares that satisfy the requirements of the approved generic listing standards without first submitting a proposed rule change to the SEC under Section 19(b) of the Exchange Act. On October 1, 2025, fee rates applicable to most securities transactions will be set at $138.10 per million dollars pursuant to the Order Making Fiscal Year 2026 Annual Adjustments to Registration Fee Rates. This represents a decrease from $153.10 per million dollars during the previous fiscal year. The new fee rate will be applied to the registration of securities under Section 6(b) of the Securities Act of 1933, the repurchase of securities under Section 13(e) of the Securities Exchange Act of 1934, and proxy solicitations and specified tender offers under Section 14(g) of the Securities Exchange Act of 1934. On September 19th, SEC Chair Paul Atkins shared with CNBC that the agency will propose a rule change that would end quarterly earnings reporting. This announcement follows President Trump’s call to switch quarterly earnings reports to a semiannual schedule. The SEC has determined that the proposed change to the current rules would be a beneficial action to take, and if the rule change is approved, companies would be able to decide whether to switch to semiannual or stay with the quarterly schedule. On September 16th, the Financial Accounting Standards Board (FASB) staff released proposed technical and other conforming enhancements for the 2026 SEC Reporting Taxonomy and the related release notes for review and comment. The proposed taxonomy improvements mainly include deprecations of elements because of infrequent use in practice or superseded guidance.
