The SEC recently adopted
amendments that will require an exchange-listed issuer to adopt a compensation recovery policy required by Rule 10D-1 of the Securities Exchange Act. The issuer must also disclose information about the application of its Rule 10D-1 compensation recovery policy and any recovery pursuant to such policy. This disclosure must be submitted in Inline XBRL.
Accordingly, the SEC has released a draft of the Executive Compensation Disclosure (ECD) taxonomy and the corresponding taxonomy guide, which have now been updated to include the required clawback disclosures. These are available at https://www.sec.gov/structureddata/dera_taxonomies. The SEC invites comments from interested parties until November 30, 2022. Comments can be sent electronically to StructuredData@sec.gov. Commenters should include “Draft 2022Q4 ECD Taxonomy” in the email’s subject header.
