The SEC has announced that it is proposing rule and form amendments to improve filer access and account management on the SEC’s Electronic Data Gathering, Analysis, and Retrieval system (EDGAR) connected to potential technical updates to EDGAR (collectively referred to as “EDGAR Next”).
Under the proposed amendments, electronic filers would be required to:
- authorize and maintain certain appointed individuals as account administrators (or in other acceptable roles) if those individuals first obtain individual account credentials as the EDGAR Filer Manual directs
- take certain actions (via their account administrators) to manage their accounts on a dashboard on EDGAR
In addition to the EDGAR Next changes, the SEC would provide filers with optional Application Programming Interfaces (APIs) for machine-to-machine communication with EDGAR, including submission of filings and retrieval of related information.
Finally, should the proposed rule and form amendments be adopted, the SEC would make corresponding updates to the EDGAR Filer Manual and apply the potential technical changes.
The SEC also announced that it will open a beta software environment for filer testing and feedback on September 18th. The dedicated test area will reflect the proposed rule and form amendments and the related technical functionality implemented in the proposing release, EDGAR Next Proposing Beta. The proposing release will be published in the Federal Register, and the public comment period will remain open until 60 days after the date of publication of the proposing release in the Federal Register.
