On February 5, 2024, the SEC implemented EDGAR Release 24.0.2, which includes changes to the filing cut-off times for Schedules 13D and 13G, as well as updates to Forms N-MFP3 and Form N-PX.
More specifically, the release addresses:
- Filing cut-off times for Schedule 13D, Schedule 13G, and corresponding amendments, which will be extended from 5:30 p.m. to 10:00 p.m. ET. These filings will have the same filing date as the EDGAR Received Date even if submitted after 5:30 p.m. ET and will be disseminated until 10:00 p.m. ET.
- The Form N-MFP3 Technical Specifications document, which has been updated to correct the maximum occurrences of “scheduleOfPortfolioSecuritiesInfo” in Part C to 99,999 instead of the current 9,999. The Form N-MFP3 schema also will be updated to correct the maximum occurrences of “dispositionOfPortfolioSecurities” in Part D to 1 instead of 9,999.
- The Form N-PX Technical Specifications package will be updated to correct the maximum occurrences of “proxyTable” to 500,000 instead of 250,000, to add State and Country codes, and to combine the State and Country fields to one “stateOrCountry” field.
Note that an upcoming release of the GoFiler Suite will include the changes to Form N-PX and a beta version of Form N-MFP3.
