The SEC has released its draft of the EDGAR® Filer Manual, Volume II: EDGAR Filing (Version 75) to prepare issuers for potential updates to the EDGAR system scheduled to be introduced in EDGAR Release 25.2 on June 16, 2025. The SEC also issues this draft of the EDGAR Filer Manual to solicit comment from the financial reporting community.
In August 2024, the SEC adopted amendments to reporting requirements on Forms N-PORT and N-CEN that apply to certain registered investment companies, including registered open-end funds, registered closed-end funds, and unit investment trusts. For further details on the rulemaking, please see the Form N-PORT and Form N-CEN Reporting; Guidance on Open-End Fund Liquidity Risk Management Programs final rule on the SEC’s website.
On June 16, 2025, EDGAR Release 25.2 will implement the following changes to the Form N-CEN schema and online application to permit filers to comply with the new requirements:
- add new Item C.22 Liquidity Classification Services
- add new RSSD ID and other identifying number fields throughout the Form. Previously, certain LEI fields on the Form allowed filers to report either an LEI, RSSD ID, or other identifying number in the same field. This release separates LEI, RSSD ID, and other identifying number into different fields
Notable LEI Field Validation and Future Validation Changes:
- EDGAR currently will not be enforcing field length validations for the LEI field, allowing filers to continue to upload and submit filings according to their current process without generating an error message
- beginning November 17, 2025, filers will be required to report the appropriate identifier in the appropriate field, and EDGAR will enforce specific validations for each of these fields when an entry is provided
- LEI will require a 20-character alphanumeric response or “N/A”
- RSSD ID will require a numerical response of up to 10 digits or “N/A”
- other identifying numbers will be limited to 100 characters, but also will require the filer to provide a description of up to 500 characters
- submissions with entries that do not meet these criteria will not be accepted
EDGARLink Online Interface would implement the following changes:
- remove inoperable links to submission types N-PX and N-PX/A. Since July, 2024, filers have been required to prepare submissions in a structured, machine-readable format created by using either the online version available on the EDGAR Filing Website or one constructed by filers based on the "EDGAR Form N-PX XML Technical Specification" document
- remove certain references to Form N-PX and its variants from EDGAR Filer Manual Volume II: Chapter 7 Preparing and Transmitting EDGARLink Online Submissions
Should the SEC approve the final version of the EDGAR Filer Manual, it will be made available on the SEC’s website on or by June 16, 2025. The posting of the draft EDGAR Filer Manual does not indicate SEC approval of any proposed changes relating to the EDGAR system as reflected in the draft. “Non-rule”-based updates to the draft Volume II of the EDGAR Filer Manual will go into effect on June 16, 2025. For rule-based changes, please refer to the effective dates of the related final rule on sec.gov.
The upcoming release of the GoFiler Suite will include support for the final changes. Check back with our blog or contact support for more information.
