The SEC has announced that the Division of Investment Management is extending the EDGAR filing window on April 29, 2020 from 5:30 pm to 10:00 pm EDT. This extension applies to registered investment companies and business development companies. The extension is intended to help ameliorate the potential filing delays due to the ongoing impacts of the COVID-19 pandemic.
Normally a registered investment company or business development company filing submitted after 5:30 pm EDT would be considered to be officially filed the next business day. Via this extension, if the filing is received after 5:30 pm but before 10:00 pm EDT on April 29th, the SEC will automatically consider the filing to have been received on April 29th. This adjustment will be made by the SEC on April 30th or as soon as possible thereafter. Filers who do not intend a filing date adjustment should notify IMEmergency@sec.gov.
This is a one-day extension only. Any registered investment company or business development company requiring a subsequent filing window extension should submit a request to IMEmergency@sec.gov. Filers with questions may contact EDGAR Filer Support at 202-551-8900 and select option 3.
