Notice Regarding HTML with Long Lines and Duplicate Filings

Please be aware that there are two significant issues that are currently affecting filers: a) issues with HTML code generated by software other than GoFiler that can result in data loss if the HTML code contains no line returns; and b) SEC changes to the EDGAR system that are affecting the filing and acceptance response time and performance. The first issue has been addressed in a hotfix for GoFiler, which you can download and install by following the instructions in this notice. The second is not a problem with GoFiler but rather a general problem with the SEC changes to the EDGAR system. More information on that is also available in this notice.


Non GoFiler Generated HTML


For some HTML data generated outside of GoFiler, there is a potential issue with data loss/corruption if the source file has no line returns. There are a number of iXBRL generators that create HTML files with the HTML section being one very long line of text, sometimes megabytes in length. We have addressed an issue with version 5.4a Patch B.


Because this is a release that is not part of our regular updates, you will need to use the Updater.exe file within the application installation directory in order to update the software. Users who are working with inline XBRL or with HTML from outside sources are encouraged to download this release.


To update your application to version 5.4a Patch B, follow the steps below:

  1. Close the application.
  2. Open Windows Explorer and navigate to the application installation directory. This is usually located in C:\Program Files\. If running a 64-bit operating system, your installation directory may be located within the C:\Program Files (x86) directory instead.
  3. Double-click on the Updater.exe file. Please note that this file contains the name of the application and will vary depending on which application you are running. For example, the updater for GoFiler Complete is GoFiler_Updater.exe.
  4. Press the Yes button to force the application to update.

To verify that you are running the patch release, you can go to the About dialog located in the Help Menu. The dialog will show “5.4a” as the version number and Patch Level: psg09.dll·b. We apologize for any inconvenience this has caused.


You can also request the DLL updates from our support team to manually update your software.



Duplicate Filings and General Issues with SEC Filing


As most filers know, the SEC made changes to the EDGAR System with the release of EDGAR 20.2 and there have been a number of issues across the board. One issue has been filing and acceptance performance. This is not an issue with GoFiler but a general issue with the EDGAR System being very slow or unresponsive during various phases of filing. We have tried to improve the situation by increasing timeout values to compensate for the sluggishness.


One problem involves the file transmission completing and failing to get an accession number from the EDGAR System. If you see the message:


“The submit function encountered an error but it occurred after the file was sent to the SEC. EDGAR may have accepted the filing before the connection was lost.”


Do not just automatically respond by refiling — this can result in a duplicate filing. Check the filing mailbox with GoFiler, directly on the EDGAR site or via your email before refiling.
