The SEC has announced that the Federal Reserve Bank Fedwire Funds service has rescheduled the single-day transition to the ISO 20022 message format from March 10, 2025 to July 14, 2025. The current Fedwire Application Interface Manual (FAIM) format now has a sunset date of July 13, 2025. In September 2024, the SEC adopted rule and form amendments to EDGAR filer access and account management (EDGAR Next). On February 25th, the SEC adopted rules under the Securities Exchange Act to extend by one year the compliance dates for Rule 17ad-22(e)(18)(iv)(A) and (B) (collectively known as the Trade Submission Requirement). The Trade Submission Requirement is designed both to mitigate the spread of risk to US Treasury securities covered clearing agencies (CCAs) and to bring the benefits of central clearing to more transactions involving US Treasury securities. On February 11th, the SEC released a group of Compliance and Disclosure Interpretations (C&DIs), which comprises the Division's interpretations of Exchange Act Sections 13(d) and 13(g), Regulation 13D-G beneficial ownership reporting and related filing of Schedules 13D and 13G. These C&DIs replace the “Regulations 13D and 13G and Schedules Thereunder” interpretations in the July 1997 Manual of Publicly Available Telephone Interpretations. On February 3rd, the EDGAR system was upgraded with interim release 25.0.1, and it now supports the 2024q3 version of the Fund (FND) taxonomy. The 2024q3 version of the FND taxonomy will now include the requisite update for compatibility with the 2024q3 version of the Open-End Fund (OEF) taxonomy enabling filers to use both taxonomies in one filing, and provide the elements for tagging disclosures related to the SEC’s rulemaking regarding enhanced prospectus disclosure requirements for terminology used in fund names. On January 29th, the Securities and Exchange Commission and the Commodity Futures Trading Commission (CFTC) jointly extended the compliance date for the amendments to Form PF. Adopted on February 8, 2024, this is the confidential reporting form for certain SEC-registered investment advisers to private funds, including those that also are registered with the CFTC as commodity pool operators (CPOs) or commodity trading advisers (CTA). In December 2024, the SEC published its semi-annual report to Congress regarding public and internal use of machine-readable data for corporate disclosures, in compliance with the Financial Data Transparency Act of 2022 (FDTA) signed into law on December 23, 2022. The FDTA requires the SEC to submit this report to both the Committee on Banking, Housing, and Urban Affairs of the Senate and the Committee on Financial Services of the House of Representatives every 180 days through December 23, 2029, when the provision requiring the report concludes. The SEC has adopted amendments that would add to the revised filing and recordkeeping requirements the agency has been implementing for the past 20 years. The amendments require the electronic filing, submission, or posting of certain forms, filings, and other submissions that national securities exchanges, national securities associations, clearing agencies, broker-dealers, security-based swap dealers, and major security-based swap participants make with the SEC. The SEC has published the 2025 Peak Filing Volume Dates for EDGAR filings. To help filers avoid missing deadlines and to lessen online traffic around important filing dates, the SEC releases a filing schedule detailing when it expects to receive the highest volume of EDGAR filings.
