SEC Issues XBRL Taxonomy Update

Following its upgrade to Release 21.2, the EDGAR system began supporting the 2021 International Financial Reporting Standards (IFRS) Taxonomy. The 2021 IFRS Taxonomy is consistent with that of the International Accounting Standards Board which was made available on the its website on March 24, 2021. SEC Adjusts Filing Dates in Accordance with Juneteenth Holiday

In observance of the Juneteenth National Independence Day, and in treating that day as a federal holiday for filing purposes, the SEC has adjusted the dates of some filings submitted last week. SEC Announces Adoption of the Passphrase Update Amendment

On June 22, 2021, the SEC announced amendments to Volume I of the EDGAR Filer Manual pertaining to Section 4.b and the Manual Passphrase Update Request. These updates require filers who have misplaced their passphrase to provide certain supporting documentation indicating the connection between the individual(s) requesting access and the existing EDGAR account. They must also provide documentation indicating how the individual(s) requesting access connects to the individual(s) acting on that individual’s behalf. SEC Introduces Pilot Phase to Implement Final Rule Aimed at Investment Company Filers

On June 22, 2021, the SEC announced that the anticipated September 2021 update to the EDGAR system will introduce a pilot phase for filing Form 24F-2. The SEC recently adopted the requirement that filings on Form 24F-2 be submitted in a structured format, as stated in the Securities Offering Reform for Closed-End Investment Companies release. SEC Releases EDGAR 21.2

On June 21, 2021, EDGAR Release 21.2 was released by the Securities and Exchange Commission. This release included changes to Forms S-1, S-3, F-1 and F-3 to allow issuers of Exchange Traded Vehicle Securities to register an indeterminate number of securities and pay thefee for those securities on an annual basis. Changes were also made to Item C.7 and Part F on Form N-CEN and to add the IFRS 2021 Taxonomy.

EDGARLink Updates Online Document Attachment Capabilities

As of June 9, 2021, when a filer is using an internet browser other than Internet Explorer, EDGARLink Online will allow that filer to attach multiple documents at once to EDGAR submissions. The SEC’s Division of Corporation Finance recently provided guidance that reflects its views concerning the filing of Form C to the SEC with respect to the effectiveness of certain rule changes as introduced in Release No. 33-10884. This guidance on EDGAR filing of Form C: 1) is not a rule, regulation or statement of the SEC; 2) has neither agency approval nor disapproval; 3) has no legal force or effect; 4) does not alter or amend applicable law; and 5) creates no new or additional obligations for any person. FASB Proposes Revisions for Future Taxonomies Related to Proposed ASU on Fair Value Hedging

The Financial Accounting Standards Board (FASB) has recently issued proposed updates to the US GAAP Financial Reporting Taxonomy and SEC Reporting Taxonomy related to the proposed Accounting Standards Update (ASU) on Derivatives and Hedging (Topic 815): Fair Value Hedging – Portfolio Method. The proposed revisions to the taxonomies will include: 1) new elements, 2) newly added references to transition elements, 3) modified documentation and standard labels, 4) element deprecations, and 5) reference deletions. {expires: 2021-07-06}

Recommended Software Update for Form MA Filers

The SEC has released EDGAR 21.1.3.u1, which contains changes related to Form MA. Because these changes are limited in their scope, they are being addressed in a software update to the GoFiler software suite that is outside the normal release cycle. In order to obtain this patch, you will need to use the Updater.exe file within the application installation directory. Recommended Software Update for iXBRL and XDX Users

A patch has been released to correct some issues with the version 5.8a of the GoFiler products. This release will correct a problem where a dialog box would remain open after validating a project that contained an iXBRL document. It also improves the handling of mixed data types when changing between the US GAAP 2020 and US GAAP 2021 taxonomies.
