The SEC announced on October 18th that the compliance date for the submission of Form 144 to the EDGAR system in an electronic data format will be April 13, 2023.
This change from paper and text submissions to XML comes as a result of rule changes the SEC adopted earlier in 2022. The SEC has created a webpage resource to help Form 144 filers and filing agents in applying for access to EDGAR, which will become required, and in preparing and submitting the electronic Form 144. Filers are directed to contact the Division of Corporation Finance’s Chief Counsel Office at (202) 551-3500 with questions about Form 144 filing requirements and to contact EDGAR Filer Support for questions about accessing and using the EDGAR system.
