FERC Releases Latest eForms Refresh

On September 3rd, the Federal Energy Regulatory Commission (FERC) announced that from Thursday, September 17, 2026, through September 24, 2026, the eForms collection system will be out of service. SEC Staff to Hold Roundtable on Preparations for 24-Hour Trading

SEC staff will host a public roundtable to discuss preparations for moving US equity markets toward 24‑hour trading, overnight operations, the opportunities and challenges of continuous trading, and how those measures would boost market resiliency. The event will take place on Thursday, September 17, 2026, from 10:00 a.m. - 4:00 p.m. ET, and is open for the public virtually to attend on the SEC’s site. Registration is required.

Labor Day

The SEC will be closed Monday, September 7th in observance of Labor Day. The EDGAR System will not receive, process or accept filings on this day. Filings with a due date of September 7th will be due the following business day. The FERC will be closed in observation of Labor Day. eForms will accept filings submitted on September 7th. Novaworks will also be closed on September 7th in observance of Labor Day. We will be offering limited email support from 2:00 p.m. to 6:00 p.m. ET on Friday, September 4th. {expires: 2026-09-08}

SEC Proposes Amendments to Enhance Oversight of Registered Transfer Agents

On September 1st, the SEC proposed revisions to the rules and forms that regulate registered transfer agents, entities that represent an essential part of the US clearance and settlement framework. The rulemaking marks the first substantial update to these rules since the early 1980s. SEC Issues Guidance on Misuse of Tagging Elements in BDCs’ Statements of Operations

On August 27th, the SEC’s Division of Economic and Risk Analysis (DERA) completed an assessment of the tagging in Business Development Companies’ (BDCs’) consolidated statements of operations in Forms 10-K for fiscal year 2025. In conducting this assessment, staff noted several recurring issues in the way certain income and expense line items were tagged, indicating that many filers continue to apply elements that do not align with the structure of BDC financial statements. SEC Staff Issues Semi-Annual Report to Congress on Use of Machine-Readable Data

The SEC has published its semi-annual report to Congress regarding public and internal use of machine-readable data for corporate disclosures, in compliance with the Financial Data Transparency Act of 2022 (FDTA) signed into law in December 2022. The FDTA requires the SEC to submit this report to both the Committee on Banking, Housing, and Urban Affairs of the Senate and the Committee on Financial Services of the House of Representatives every 180 days through December 23, 2029, when the provision requiring the report concludes. SEC Provides Preview of September 2026 EDGAR Release 26.3

On August 14th, the EDGAR Business Office issued a preview of the upcoming updates to the EDGAR system capabilities, technical specifications, and the draft EDGAR Filer Manual prior to the approaching EDGAR software release. The release is currently scheduled for September 14, 2026, and filers may review and test the expected EDGAR system changes in the EDGAR Beta Environment beginning August 31, 2026. FASB Publishes 2026 Investor Outreach Report

On August 6th, the Financial Accounting Standards Board (FASB) issued its 2026 Investor Outreach Report, which is now available through the FASB’s Investor Web Portal. The report details how investor feedback shapes standard‑setting priorities, informs potential improvements to GAAP, and supports the work of the Investor Advisory Committee. SEC Creates Financial Reporting and Accounting Unit Within Enforcement Division

On August 5th, the SEC announced that it is creating a Financial Reporting and Accounting Unit within Enforcement to expand its focus on accounting and financial reporting fraud and misconduct. The unit will coordinate with other SEC divisions to support consistent enforcement aligned with Commission priorities. SEC Adopts Investment Company Governance Technical Amendments

On August 4th, the SEC announced that it is amending rules related to delegating authority to its staff. The final rule updates the way certain responsibilities are assigned to staff, allowing the agency to operate more efficiently. The SEC adopted technical amendments to investment company governance rules to update the Code of Federal Regulations (CFR) after a federal court withdrew two 2004 requirements. The court invalidated the 75% disinterested‑director requirement and the independent‑chair requirement, which legally reverted funds back to the earlier standard requiring only a simple majority of disinterested directors. MSRB Proposes Updates to Dealer Supervision Rule G‑27

On July 27th, the MSRB released for public review and comment a rule proposal with the SEC that would update Rule G‑27, modernize dealer supervision requirements, and reflect current business practices, including hybrid work environments. The proposal is part of the MSRB’s ongoing retrospective rule review.
