On June 16th, the SEC announced that it will offer an EDGAR Filing Fee Beta that will allow filers and filing agents to test the technical and structured data components of the Filing Fee Disclosure and Payment Methods Modernization final rule, which was adopted in October 2021.
The EDGAR Filing Fee Beta period will be open from October 2, 2023 to December 22, 2023. Filers who would like to participate should send an email to FilingFeeBetaFeedback@sec.gov on or before August 31, 2023. The email should include the filer’s name and CIK and should be sent from the email address that corresponds to the filer’s Contact for EDGAR Information, Inquiries and Access Code listed in EDGAR. Upon receipt of the email indicating interest, filers should expect an email confirmation within 24 hours.
The EDGAR Filing Fee Beta will allow filers to produce structured filing fee-related information by using the new Fee Exhibit Preparation Tool, which includes features such as prompts, explanations, and automated calculations, to produce a filing fee exhibit in submission-ready format. During the Beta period, filers should make fee-related submissions utilizing the current EDGAR filing fee process.
Filers are reminded to be mindful of the following important dates regarding the Filing Fee Disclosure and Payment Methods Modernization rule:
- voluntary compliance period for submission of structured fee exhibits begins January 31, 2024
- mandatory compliance for large accelerated filers begins July 31, 2024
- compliance by all filers is required by July 31, 2025
